We have been contacted by Tracy Harp to help her start a business here in Texas with her brother Tom Harp. They both live and work at 123 South Lamar here in Austin (78704). They plan to start a business to do land development, developing a senior citizen theme park called the Victorian Village to provide senior citizens with a unique return to a kinder, gentler time where the old values in entertainment can be appreciated without the commercialization of today. A shopping mall, condominiums, and single family homes are also contemplated. Roaring Twenties will be the name of their new business venture (Tracy has confirmed that this name is available for use) and we agreed that forming it as a Limited Liability Company would be best.
Please prepare both
1) the Certificate of Formation and
2) the Operating Agreement for Roaring Twenties to be formed as a LLC (two separate documents). Tracy would like to file the Certificate of Formation with the Secretary of State and sign the Operating Agreement on August 2, 2024 (making both effective as of that date). Tracy will serve as the registered agent and organizer. She and Tom will govern the company as members, sharing equally in the business. They will each contribute $500,000 to begin the business on August 2, 2024.
Please use the forms and recommendations available on the LLC University website (www.llcuniversity.com/texas-llc/forms/) to get these draft documents pulled together.
You will want to watch their videos on both the Certificate of Formation and Operating Agreements to know what to include and how to fill out these documents. Make sure the Certificate of Formation is the most updated version from the Secretary of State’s Website (it is a PDF fillable form that you will fill in – no need to adjust formatting). For the Operating Agreement, please download and edit the Word version of the “Operating Agreement for Member-Managed Limited Liability Company” from the LLC University website. Make sure to format the document to be consistent with our class rules (i.e., have justified margins and add page numbers and a footer).
Again, watch the video tutorials on the LLC University website and follow their instructions on how to create/fill-in these documents. The documents should be completed on the computer and not by hand.
